Company Registration in Cyprus
Company Name
You need to provide us a choice of 3 alternative names of your preference to check availability by the Cyprus Registrar Companies. As an alternative we always have preapproved names to expedite the whole procedure in place.
Company Activities
A brief description of the Company’s activities is required to enable our experts to draft the Memorandum and Articles of Association.
Registered Office
As per law requirement a Cyprus Company needs to have its Registered Address in Cyprus. Our firm shall provide you with the above.
Secretary
A secretary is required by law to maintain the statutory book. Our firm shall appoint a secretary from our office.
Director
There must be at least one director who can be either local or foreign. Upon request our firm provides nominee directors enabling our clients to exercise management and control in Cyprus and nominee overseas directors for management and control outside Cyprus.
Please note that for each Director and bank account signatories appointed by the client we require the following:
Passport copy
Residential address
Occupation
Nationality
Utility bill less than 3 months old (electricity, land line telephone bill, water, gas, etc. confirming client’s current address)
A bank reference letter for each individual or legal entity
Shareholder
A minimum of one shareholder is required. If anonymity is preferred, then the shares may be held by a nominee or trustee. Our firm can provide you with a trustee or a nominee upon request.
Please note that for each Shareholder and bank account signatories appointed by the client we require the following:
Passport copy
Residential address
Occupation
Nationality
Utility bill less than 3 months old (electricity, land line telephone bill, water, gas, etc. confirming client’s current address)
A bank reference letter for each individual or legal entity
Timeframe
Upon approval of the Company’s Name, it will take 5 to 8 working days to complete the Cyprus business registration procedure.
On Incorporation you will receive the following:
Certified Memorandum & Articles of Association in the Greek language, together with an English copy as translated by us
The following Company’s Certificates in Greek or English:
Certificates of Incorporation
Certificates of Shareholders
Certificates of Directors and Secretary
Certificate of registered office address
Share Certificates in Greek or English
A company stamp
Signed share transfer documents and signed registration letter by nominee shareholder and directors (respectively if nominees are opted)
Declaration of Trust (if applicable)
Indemnity Letters, whereby the beneficial owners indemnify the nominees for their actions
Annual Requirements
Audited Financial Statements, must be submitted annually to the income tax office. The audit must be carried out by an auditor authorized under Cyprus Law. Also an annual Return accompanied by a Greek Translation of the Financial Statements must be filed with the Registrar of Companies, giving details of Directors, shareholders and registered office address.
