Company Name

Company Activities

Registered Office


A Cyprus company must maintain a registered address in Cyprus. We can provide a registered office service.

Secretary


A company secretary is required by law to maintain statutory records. We can provide a corporate secretary.


Director


At least one director is required (local or foreign). On request, we can provide nominee directors to help meet the management and control criteria for Cyprus tax residency, depending on how strategic decisions are exercised.

Shareholder


At least one shareholder is required. If privacy is preferred, shares may be held by a nominee or trustee. The ultimate beneficial owner (UBO) must still be disclosed to authorities under Cyprus and EU anti-money laundering rules.

Timeframe


Once the company name is approved and all documents are in order, government processing typically takes 5 to 8 working days. Timelines depend on the Registrar of Companies.

After approval, you can obtain the following official documents from the Registrar. We can coordinate certified translations and copies as needed:

  • Memorandum & Articles of Association (Greek original and English translation)
  • Certificate of Incorporation
  • Certificate of Shareholders
  • Certificate of Directors and Secretary
  • Certificate of Registered Office
  • Share Certificates (Greek or English)
  • Company stamp (if requested)
  • Signed share transfer documents and registration letters from nominee shareholder/directors (if nominees are used)
  • Declaration of Trust (if applicable)
  • Indemnity letters related to nominee services

Annual Requirements


Audited financial statements must be submitted annually to the Income Tax Office. The audit is carried out by an auditor authorized under Cyprus law. An Annual Return, accompanied by a Greek translation of the financial statements, must also be filed with the Registrar of Companies, providing details of directors, shareholders, and the registered office.
