After years of incremental adjustments, parliament passed a wide-ranging reform on 22 December 2025, with legislation published in the Official Gazette on 31 December 2025. The majority of provisions took effect on 1 January 2026. The reform seeks to modernise the tax system, increase flexibility, and enhance compliance. Key outcomes include a higher corporate tax rate, restructured personal income bands, new levies on cryptocurrencies and stock options, and a significant revision of the Special Defence Contribution. Some changes create new planning opportunities, while others necessitate prompt action. Corporate Taxation: The Rate Goes Up The headline figure is straightforward: corporation tax rises from 12. 5% to 15%, in line with the OECD’s global minimum tax. This applies from the 2026 tax year onward. Two further corporate changes are significant. The definition of a Cyprus tax resident company now includes all companies incorporated under Cyprus law, regardless of residency claims by other jurisdictions. Additionally, tax losses carried forward may be utilised over seven years instead of five, which is particularly relevant for companies with accumulated losses. Personal Income Tax: New Bands, New Obligations The individual income tax bands have been updated to better reflect current income levels. The revised structure is as follows: Chargeable Income Tax Rate Accumulated Tax €0 – €22,000 0% €0 €22,001 – €32,000 20% €2,000 €32,001... > Why Cyprus works for investment, wealth planning and family life: Cyprus International Trusts, non-dom status, the 60-day rule and 15% corporate tax. - Published: 2025-11-12 - Modified: 2026-09-15 - URL: https://kps.com.cy/discover-cyprus-a-premier-destination-for-investment-wealth-management-and-lifestyle/ Cyprus International Trusts: A Premier Vehicle for Global Asset Protection In today's demanding world of wealth management, tax optimization, and succession planning, high-net-worth individuals, corporations, and multinational organizations continually seek effective and secure ways to protect, manage, and expand their assets globally. Within the European Union, the Cyprus International Trust (CIT) stands out as an exceptional solution, combining a robust legal framework, an excellent international reputation, and attractive tax advantages. Cyprus has established itself as a modern, well-regulated financial hub offering both strategic opportunities and a high quality of life. A Few Words About Cyprus Cyprus, the third-largest island in the Mediterranean, is strategically located at the crossroads of Europe, the Middle East, and Africa. A member of the United Nations since 1960 and a full member of the European Union since 1 May 2004, Cyprus offers political stability, legal transparency, and a business-friendly environment. The island's accession to the EU significantly enhanced its position as one of Europe's emerging financial and business centers. Its geographic location, international accessibility, highly skilled workforce, and professional infrastructure make Cyprus an ideal jurisdiction for both corporate structuring and residence. Foreign investment is actively encouraged, and the combination of a high standard of professional services, favorable taxation, and exceptional quality of life creates an ideal environment for international entrepreneurs and families alike. Over time, the island has built a position in Europe as a reliable and practical jurisdiction for setting up companies. The attraction is not tied to a single feature but to a combination: EU membership, a legal tradition influenced by English common law, and a tax system that makes cross-border activity easier to manage. For entrepreneurs, investors, and high-net-worth individuals, this mix translates into credibility inside the Union and flexibility for international operations. Corporate Tax Advantages From 2026, Cyprus applies a 15% corporate tax rate, in line with the OECD global minimum. The rate matters less than the access it comes with: companies benefit from EU directives and a network of more than 65 double taxation treaties that simplify cross-border arrangements. Under certain conditions, dividends from abroad are tax-exempt, and distributions to non-resident shareholders are generally free of withholding tax, with exceptions for certain low-tax and non-cooperative jurisdictions. These features, taken together, explain why many groups choose Cyprus for holding companies and international investment platforms. Confidentiality and Transparency Balance The corporate framework strikes a balance between transparency and privacy. Directors and shareholders must be disclosed to the Registrar of Companies, but details of ultimate beneficial owners are filed separately with the authorities and do not appear in the public record. This approach meets international compliance standards while preserving the level of confidentiality expected by sophisticated investors. Flexibility of Structures A private limited company in Cyprus can be set... > Cyprus Permanent Residency by Investment: Updated 2023 criteria, flexible €300,000 routes, and the potential benefit of Schengen entry. - Published: 2025-08-20 - Modified: 2026-09-15 - URL: https://kps.com.cy/cyprus-permanent-residency-by-investment-new-rules-potential-schengen-benefits/ Updated September 2026: Schengen status and the corporate tax rate have been revised. The 60-day rule was changed by the Cyprus tax reform in force from 1 January 2026, and the text below reflects the current rules. In February 2022 the Cyprus tax authorities issued a circular explaining how the 60-day tax residency rule should be applied. The aim was to make the rule clearer and easier to use. Since then, the 2026 tax reform has simplified the rule further. Current criteria (from 2026) An individual who does not meet the 183-day rule can be treated as a Cyprus tax resident for a tax year under the 60-day rule if, in that year, they: Spend at least 60 days in Cyprus. Do not spend more than 183 days in total in any other single country. Carry on a business in Cyprus, are employed in Cyprus, or hold an office (such as a directorship) in a company that is tax resident in Cyprus, at any time in the year, and this is not terminated during the year. Own or rent a permanent home in Cyprus. What changed in 2026 Before 2026, the rule also required that the individual was not tax resident in any other country. The 2026 reform removed that condition. The 2022 circular Much of the 2022 circular dealt with how to apply the "not tax resident elsewhere" condition, including for people from countries whose tax year does not follow the calendar year, such as the United Kingdom. As that condition no... > The main goal of the new tax policy is to attract the interest of technology companies by promoting Cyprus's technology sector. - Published: 2022-05-27 - Modified: 2022-05-27 - URL: https://kps.com.cy/cyprus-updates-tax-policy-with-the-aim-to-attract-business-and-skilled-employees/ On Tuesday, 11 May 2022, the Cabinet of Ministers in Cyprus has proceeded in approving a new tax incentive policy hooping to further attract talented people and foreign companies to the country. The main goal of the new tax policy is to attract the interest of technology companies by promoting Cyprus's technology sector. Along with attracting foreign talent, the government hopes to provide additional motives to Cypriots who are currently employed abroad to return to the country. Tax Policy Details The new policy provides a 50% tax break for employees that earn above €55,000 annually. This tax break will be extended from a 10-year period to a 17-year period, beginning after 1 year of employment in Cyprus. The policy extends a 6-month grace period to meet the salary threshold for current employees, and two years for new employees. > How Cyprus decides company tax residency from 2026: the incorporation test, the management and control test, and the factors that support substance. - Published: 2022-05-20 - Modified: 2026-09-15 - URL: https://kps.com.cy/cyprus-taxation-the-management-and-control-test/ Updated September 2026: this article was first published in May 2022. It now reflects the corporate tax residency rules in force from 1 January 2026. How Cyprus decides where a company is tax resident Cyprus uses two tests to decide whether a company is tax resident in Cyprus: Incorporation test: from 1 January 2026, every company incorporated under Cyprus law is tax resident in Cyprus, unless a double tax treaty provides otherwise. Management and control test: a company incorporated in another country is tax resident in Cyprus if it is managed and controlled from Cyprus. Tax resident companies pay Cyprus corporate tax, at 15% from the 2026 tax year, and can use Cyprus's network of double tax treaties. How the rules have changed Until December 2022, Cyprus relied only on the management and control test. A company incorporated in Cyprus but managed abroad was generally not tax resident in Cyprus. From 31 December 2022, the law added an incorporation test. A Cyprus-incorporated company became tax resident in Cyprus even when managed abroad, but only if it was not tax resident in any other country. The 2026 tax reform removed that last condition. Every Cyprus-incorporated company is now tax resident in Cyprus. Where another country also treats the company as resident, the double tax treaty between the two countries decides. See our 2026 tax reform overview. What management and control means The test comes from English common law. In De Beers Consolidated Mines Ltd v Howe [1906] AC 455, the court... > K.P.S. The Company law has been structured on the main pillars of the English common law, accrediting the legal framework of Cyprus for transparency and efficiency within business practices. While the main advantages of the Cyprus Company have remained the same as per our last article, some minor changes have been taken place in registering a Cyprus Limited Company. Updated Procedure of setting up a Cyprus Company Company Name As per our previous article, the applicant must choose the name of his/her Company providing at least three alternative Company names either in Greek or Latin characters with the word ‘’Limited’’ at the end of each Company name. In continuation to this article we decided to provide a further analysis of the benefits surrounding a Cyprus Holding Company. As a result of questions raised by various prospective clients today we shall tackle the tax regime of a Cyprus Intellectual Property organization. Under the Cyprus Tax legislation on Royalties effected in 2012 (IP Box Regime) Companies were allowed to have certain tax advantages as long as they were part of the qualified Intellectual Property (IP) rights with the condition that they were acquired/ developed before January 2012. Qualifying IP rights included but were not exhausted to copyrights, registered patents and trademarks, artistic or literal works, software etc. It should be noted that for IP rights registered outside the Republic of Cyprus, a Cyprus Company could still benefit from the IP Box Regime. The IP Box Regime legislation was applicable to IP Companies until the 30th of June 2016. Between the foresaid period and 30 June 2021 only existing registered IP Box Companies will continue to enjoy the “fruits” and be able to apply the tax regime. The IP Box regime as described above was heavily investigated and finally terminated for both Cyprus and other countries after pressures were exercised from the Organization for Economic Co-operation and Development (OECD)... > Benefits of a Cyprus holding company: 15% corporate tax, exempt dividends and share gains, no withholding tax in most cases, and 65+ double tax treaties. - Published: 2017-10-20 - Modified: 2026-09-15 - URL: https://kps.com.cy/cyprus-holding-company-benefits/ The Cyprus Holding Company: Benefits at a glance In our article "A Step by Step Guide for Forming a Company in Cyprus" we explained the benefits and the procedure for setting up a company in Cyprus. This article looks more closely at the benefits of a Cyprus holding company. Cyprus is an EU member state with a transparent legal system based on English common law and a tax regime aligned with EU and OECD standards. That combination makes it a common choice for international groups looking for a holding company in Europe. A Cyprus holding company is formed in the same way as any Cyprus limited company. Once the company name is approved and all documents are in order, registration usually takes 5 to 8 working days. The steps are set out below. Company Name Submit at least three alternative names, in Greek or Latin characters, so the Registrar of Companies can check availability. The word "Limited" is added at the end of the chosen name. Memorandum and Articles of Association Once the name is approved, provide the lawyer with the company's planned activities, share capital and internal rules, so the Memorandum and Articles of Association can be drafted. Under the OECD Model Tax Convention, a Cyprus company can benefit from Cyprus's double tax treaties if: The company is tax resident in Cyprus; and The company is the beneficial owner of the income it receives (dividends, royalties, interest). When forming a Cyprus company, the owner should agree with their tax consultant how real substance will be built, so the company can rely on its Cyprus tax residency and treaty benefits, with corporate tax at 15% from 2026. Tax authorities around the world are increasingly strict with structures that use foreign jurisdictions, and they actively target tax avoidance. In the past, showing that a company was managed and controlled from Cyprus, and paying tax in Cyprus, was often enough for it to be treated as a Cyprus company. Since 2026, every company incorporated in Cyprus is tax resident in Cyprus unless a double tax treaty provides otherwise. However, foreign tax authorities look closely at whether a Cyprus company has real substance. Where it does not, they can challenge its treaty benefits or treat it as resident in their own country. How to achieve Substance in Cyprus To avoid these risks, and the higher taxes they can bring, a Cyprus company should address the main factors of substance: The majority of directors... > Cyprus had investments of €4 billion in the last years from EU Citizenship by investment programme. European Union (EU) member states can provide their nationalities to any individual in the world they choose. In this sense many member states saw a window of “opportunity” in providing “Citizenship by Investment” programs to rich individuals enabling them to acquire the EU passport. These investment programs were mainly introduced for boosting the Governments’ Revenue and at the same time to enable the ailing property and service sectors to re-emerge from a time of recession. Indeed, by introducing the investment schemes for their citizenships EU member states have improved their short term finances and prospects i. e. Cyprus had investments of €4 billion in the last years. But what about the negative impact? Have governments realized the negative effects of introducing such a scheme? By selling an EU passport and giving it a “price tag” you simply undermine its status and prestige. As above locals may feel exploited and exposed of having a passport whose power and image wears down as time passes. Even though authorities scrutinize the applicant’s background heavily, there is always a chance of providing a back door to criminals and Tax evaders. Voices within the EU claim that the Schengen System’s integrity is threatened by offering the EU passports on ‘’sale’’. Schemes that support investment in real estate properties allow the market to keep its high prices. Even though a small number of these expensive properties exists for this kind of investors, it allows the prolongation /... > We can assist you in forming a Cyprus Company in order to be in compliance with all requirements set up by the Cyprus Authorities. - Published: 2017-08-28 - Modified: 2026-09-15 - URL: https://kps.com.cy/step-step-guide-forming-company-cyprus/ A Step by Step Guide for Forming a Company in Cyprus Since the 2012 to 2013 financial crisis, Cyprus has recovered strongly.
